Position Summary:
Hanwha Convergence USA Corp. is seeking an Associate Corporate Counsel to join its Legal Group and work closely with the Deputy General Counsel in supporting the Company’s growing and diversified businesses.
This junior in-house counsel role will work closely with the Deputy General Counsel and will involve significant direct interaction with business leaders and functional teams. The successful candidate should be comfortable operating in a growing environment where priorities may shift, matters may arise unexpectedly, and legal questions frequently require coordination across multiple functions.
The role is intended to provide significant professional development and increasing responsibility. Initially, the Corporate Counsel will work closely with the Deputy General Counsel on substantive matters, with the opportunity to assume increasing ownership of transactions, disputes, compliance matters, and designated business areas as the attorney develops familiarity with the Company and demonstrates sound judgment. The position is intended for an attorney who is intellectually curious, practical, responsive, and interested in developing broad in-house judgment rather than specializing narrowly in one area of law.
The Company values lawyers who can identify legal risks while also understanding the commercial and operational context in which business decisions are made. The successful candidate should be willing to ask questions, challenge assumptions respectfully, develop practical recommendations, and move matters toward resolution.
Essential Duties and Responsibilities:
Commercial Contracts and Counseling (appx. 30%)
- Review, draft, revise, and negotiate commercial agreements, including service agreements, construction-related agreements, procurement and vendor agreements, equipment-related agreements, NDAs, amendments, change orders, and other business contracts
- Support contract negotiations with customers, vendors, subcontractors, and other counterparties
- Assist business teams in understanding contractual obligations, risk allocation, approval requirements, and practical implications of proposed terms
- Apply and improve established Legal positions, templates, and negotiation guidance while escalating issues requiring broader legal or business judgment
- Work closely with the Deputy General Counsel and business teams to identify material legal and commercial risks and develop practical solutions
- Over time, independently handle routine and moderately complex commercial matters and serve as a primary Legal contact for designated business areas
- Support post-matter reviews and capture lessons learned to improve contracts, processes, and risk management
Disputes, Claims, and Litigation Support (appx. 30%)
- Support and progressively take ownership of commercial disputes, payment disputes, claims, pre-litigation matters, and other contested business issues
- Review contracts, correspondence, project records, and factual materials to assess contractual rights, defenses, exposure, and potential resolution strategies
- Draft and review demand letters, reservation-of-rights correspondence, notices of breach or default, settlement communications, and other dispute-related documents
- Coordinate with internal stakeholders to develop factual records, preserve relevant information, and support dispute strategy
- Manage and coordinate outside counsel where appropriate, including litigation, claims, and specialized legal matters
- Assist in evaluating litigation strategy, settlement positions, discovery matters, and legal spend
- Support post-matter reviews and capture lessons learned to improve contracts, processes, and risk management
Compliance and Corporate Legal Support (appx. 30%)
- Support Company’s legal and compliance matters, including corporate policies, internal investigations, employment and HR-related legal matters, licensing and regulatory requirements, and general corporate compliance
- Advise HR and management, under the guidance of the Deputy General Counsel, on employment matters, workplace investigations, disciplinary issues, policies, and other employee-relations matters
- Assist with internal compliance reviews, risk assessments, policy development, and implementation of corrective actions
- Support multi-state licensing, permitting, registration, and other legal compliance initiatives relevant to the Company’s operations
- Assist with corporate governance matters, internal approvals, intercompany matters, board or shareholder documentation, and other corporate legal requirements as needed
- Work with internal stakeholders to improve legal awareness, and compliance practices
Other Responsibilities (appx. 10%)
- Support other Legal Group matters as requested

About this role
Hanwha Convergence USA is looking for an Associate Corporate Counsel to support its legal operations across a portfolio of businesses in solar, energy storage, and smart factory solutions. This is a contract role based remotely, reporting to the Deputy General Counsel and offering meaningful exposure to the full range of in-house legal work. You'll spend roughly equal time on commercial contracts, disputes and claims, and compliance matters—reviewing and negotiating agreements with customers and vendors, supporting contested business issues from assessment through resolution, and advising on employment, regulatory, and corporate governance questions. The position is designed to grow with you, starting with close collaboration on substantive matters and progressing toward independent ownership of transactions and designated business areas.
The role suits an attorney with three to six years of experience who thrives in a dynamic environment where priorities shift and legal questions cut across multiple functions. You should be intellectually curious and practical—comfortable asking questions, identifying legal and commercial risks in context, and developing solutions that move matters forward rather than getting stuck in narrow legal positions. Strong research, drafting, and written communication skills are essential, as is the ability to manage competing deadlines and work effectively with business teams and external counsel.
The salary range is $125,000 to $137,500. This is a contract position, so you'll want to clarify benefits and other terms with the hiring team.
