About this role

iCapital's Regulatory and Compliance team needs someone to review and track investor subscription materials for private and registered funds, ensuring they meet federal securities requirements under the Investment Company Act, Securities Act, and related regulations. You'll spend your time reviewing subscription documents, drafting deficiency comments when materials fall short, maintaining detailed Excel tracking systems, and communicating with investment relations teams about fundraises and investor issues. The role also involves updating rules of engagement for fund sponsors and law firm departments involved in fund formation.

This position suits candidates with one to three years in alternatives, ideally with exposure to private funds, fund structuring, and governing document review. You should be comfortable reading and analyzing LLC agreements, trust agreements, and subscription materials through a regulatory lens, and you'll need solid knowledge of the Investment Company Act and Securities Act. Strong communication skills matter—you'll interact with internal teams and external partners regularly. The ideal candidate is self-motivated, organized, and thrives managing multiple deadlines in a fast-paced environment.

The role is based in New York City and requires in-office attendance Monday through Thursday, with Friday remote flexibility. iCapital offers a salary range of $90,000 to $115,000, equity participation, performance bonuses, matched retirement contributions, and comprehensive benefits including subsidized healthcare, parental leave, and unlimited PTO.
