About this role

iCapital's Funds Legal team is seeking an experienced fund attorney to handle a broad portfolio of matters for U.S. and Cayman private funds—both open-end and closed-end structures. You would negotiate agreements with fund managers and distribution agents, draft and review offering materials and partnership documentation, advise on regulatory implications of new products, and coordinate with outside counsel on regulatory, corporate, and investment issues. The role demands deep knowledge of the Investment Company Act, Investment Advisers Act, Securities Act, Exchange Act, and FINRA rules, along with practical experience drafting and negotiating fund documents, side letters, and placement agreements.

This position suits someone with at least four years of fund formation experience in investment management, ideally from a law firm or asset management firm background. You'll need Utah Bar membership or admission in another jurisdiction, strong interpersonal and leadership capabilities, and comfort working in a dynamic environment where you're expected to learn continuously. The role is based in Salt Lake City with in-office presence Monday through Thursday and remote flexibility on Fridays.

The position is offered at the Assistant Vice President or Vice President level with a base salary of $160,000 to $180,000, plus equity, performance bonus, employer-matched retirement, fully employer-paid dental and vision, subsidized healthcare, telemedicine, virtual mental health support, parental leave, and unlimited PTO.
