S. project portfolio, including microgrids, on-site power generation, gas-fired generation, and renewable energy solutions serving hyperscale data centers.

This role is our first dedicated legal transactions hired on the energy side and so will cover a broad mandate, from power joint venture formations and equipment supply agreements to PPAs, energy services agreements, gas supply arrangements, and project finance closings. The right person brings both legal depth and strong commercial judgment, and is comfortable taking senior leadership’s direction on deal strategy and running with it through execution. You will support term sheet negotiations, manage outside counsel through definitive documentation, and ensure that our agreements reflect how we think about risk, economics, and control.

Key Responsibilities

Include but are not limited to: Support the structuring and negotiation of power and energy joint ventures, partnerships, and co-investment arrangements, including multi-tiered PowerCo / project company structures, LLC agreements, term sheets, etc. ) and O&M agreements, including warranties, performance guarantees, SLAs, governance, exits, etc.
