Senior Legal Counsel

Role Overview The Associate General Counsel is a senior in-house attorney responsible for supporting the Company’s corporate legal function, including governance, commercial contracting, development projects, compliance, risk management, entity management, and other legal matters arising in the ordinary course of business. This role requires sound legal judgment, practical business counseling, strong drafting and negotiation skills, and the ability to manage a broad range of corporate, commercial, governance, operational, and development-related legal matters.

Key Responsibilities

Provide legal support across the Company’s corporate legal function, including governance, commercial contracting, development matters, compliance, entity management, and general corporate issues. Partner with the General Counsel, executive leadership, and cross-functional teams to provide practical legal advice that advances business objectives while appropriately managing risk. Coordinate with internal stakeholders, outside counsel, counterparties, consultants, and advisors to support timely and effective execution of legal and business matters.

Draft, review, and negotiate corporate and commercial documents, including governance documents, commercial agreements, strategic arrangements, confidentiality agreements, term sheets, consents, amendments, and other legal instruments.

Support corporate initiatives, development projects, financing-related matters, commercial arrangements, and other business activities through legal analysis, diligence, and documentation. Provide legal guidance on entity management, board and investor approvals, delegated authority matters, compliance obligations, internal policies, recordkeeping, and related corporate matters.

Manage outside counsel and the legal department budget, including scope, workstreams, legal spend, and timely delivery of high-quality legal support. Support other projects, initiatives, transactions, or legal matters as assigned by the General Counsel.

Qualifications

Minimum of 10 years of relevant legal experience in corporate, commercial, governance, transactional, development, or other in-house or law firm legal work required. ) from an accredited law school required. Strong judgment, practical business counseling, communication, collaboration, and the ability to manage competing priorities across a broad range of legal and operational matters required.

Strong legal drafting, negotiation, issue-spotting, legal analysis, and corporate and commercial documentation skills required. S. jurisdiction with the ability to support Texas-based and other Company matters as needed.
