ABOUT THE ROLE

This role serves as the legal lead for the company’s public company reporting, corporate governance, and capital markets activities. This is a high-impact, high-visibility role offering meaningful ownership of core public company functions and direct involvement in the company’s strategic growth, financing, and governance initiatives. The role offers broad exposure to complex financing, governance, and strategic matters arising from a rapidly evolving business operating at the intersection of energy infrastructure, AI infrastructure, and digital assets.

You will own the SEC reporting lifecycle, including oversight and preparation of all 10-K, 10-Q, 8-K, proxy, and related securities filings, while ensuring high standards of accuracy, compliance, and disclosure controls. You will partner closely with the Chief Legal Officer, executive leadership team, and Board of Directors on governance, disclosure, and other public company matters. This includes managing governance processes and documentation, including Board and committee materials, governance policies, and Nasdaq compliance, while helping scale the company’s public company and governance infrastructure as the business continues its rapid growth.

You will lead legal support for capital markets and financing transactions and assist with other strategic corporate transactions. While the role has primary responsibility for public company and securities matters, it also provides meaningful exposure to broader strategic, financing, and enterprise-level legal and business issues.

You have substantial experience advising public companies on SEC reporting, disclosure obligations, corporate governance, capital markets transactions, and related securities law matters. You bring a combination of top-tier law firm training and meaningful in-house experience, giving you both technical depth and a practical, business-oriented approach to problem solving. You are comfortable working directly with executive leadership, Boards of Directors, and cross-functional stakeholders, and can communicate clearly and effectively across legal and business teams.

You are highly organized, detail-oriented, and capable of managing multiple high-priority workstreams simultaneously without sacrificing responsiveness or quality. You operate with a strong sense of ownership and accountability, work collaboratively, and contribute positively to a high-performance, low-ego team environment.
