The Head of Equity Executive

leads the global strategy, design, and governance of Nebius’ equity and executive pay programs. You will ensure our
framework drives a high-performance ownership culture, aligns leadership with long-term shareholder value, and scales during rapid company growth. Reporting to the Director of Total Rewards, you will serve as a technical expert and strategic partner to the
Committee, Board, Finance, and Legal teams
Committee and Board. Strategic Modelling: Manage equity pool planning utilisation tracking Policy Frameworks: Establish global eligibility, leaver treatment, and promotion/role change guidelines to ensure consistency across all geographies. Equity Education: Build a clear narrative and create communication materials (FAQs, offer templates, manager guides) to ensure employees understand the value of their equity.
Compliance Global Oversight: Ensure rigorous governance and regulatory compliance across international jurisdictions, managing tax and reporting risks. Operational Leadership: Lead a high-performing team, manage budgets, and oversee relationships with external equity administration partners and vendors Key/specific
in high-growth, international technology environments. Deep technical mastery of RSUs, PSUs, stock options, and LTI design. Direct experience preparing and presenting materials for a Board-level
Committee. Strong financial modelling skills, specifically regarding dilution, burn rates, and equity pool management. Proven people leadership skills with experience managing a specialized technical team.
Familiarity with major equity administration platforms (e.g., Computershare, Shareworks, Carta, Fidelity) Competencies behavioral traits Executive experience: High credibility when interacting with C-suite leaders and Board members.
Strategic Clarity: Ability to translate complex equity concepts into simple, persuasive narratives for diverse stakeholders. Principled Judgment: Strong integrity and a governance-first mindset when handling sensitive executive data and exceptions.
